MyBillables Terms of Service
Effective date: October 16, 2026
These Terms of Service (the “Terms”) are an agreement between [Blair Software, LLC] (“Blair
Software”, “we”, “us”) and the business or person that accepts them (“Customer”, “you”). They
govern your use of MyBillables, our time tracking, invoicing, expense, and resource planning
service, including our websites at mybillables.com, web and native apps, and APIs (together, the
“Service”).
By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you accept on behalf of a company or other organization, you confirm that you have authority to bind it, and “you” means that organization. If you don’t agree, don’t use the Service.
1. Definitions
- Organization: a workspace in the Service that holds a business’s people, clients, projects, time, expenses, invoices, and settings. One account can belong to several Organizations.
- Users: people you invite to or allow into your Organization, such as employees and contractors. You’re responsible for your Users.
- Customer Data: information you or your Users put into the Service, or that we import on your instruction (for example from Harvest), including time entries, notes, rates, client details, invoices, expenses, and receipts. It doesn’t include Usage Data.
- Usage Data: technical and aggregate information about how the Service is used, such as feature usage, performance, and error logs, which we collect without the contents of Customer Data.
- Subscription: your plan (Free, Studio, Agency, or Enterprise), its billing period, and its number of seats.
- Third-Party Services: products not provided by us that you connect to the Service, such as Stripe, PayPal, QuickBooks Online, Google, Microsoft, or Harvest.
2. Your account
2.1 Eligibility. The Service is for business use. You must be at least 18 and able to form a binding contract.
2.2 Accurate information. Keep your account and billing information accurate and current.
2.3 Security. Keep your credentials confidential, use a strong password or a supported
sign-in provider, and tell us promptly at support@mybillables.com if you suspect unauthorized
access. You’re responsible for activity in your Organization, except where it results from our
breach of these Terms.
2.4 Administrators. Your Organization’s owners and administrators control its settings, Users, permissions, integrations, and data, and can export or delete it. We follow their instructions when handling your Organization.
3. Using the Service
3.1 Access. Subject to these Terms and your Subscription, we grant you a non-exclusive, non-transferable right during your Subscription to access and use the Service for your internal business purposes.
3.2 Acceptable use. You won’t, and won’t let anyone else:
- break the law, infringe anyone’s rights, or send unlawful, deceptive, or harassing content, including through invoices, invitations, or other emails sent through the Service;
- send spam, or invite people or bill clients you have no relationship with;
- upload malware, or probe, scan, or test the Service’s vulnerabilities without our written
permission (responsible disclosure goes to
security@mybillables.com); - access another Organization’s data, get around usage or security controls, or interfere with the Service’s operation;
- copy, resell, or build a competing product from the Service, or reverse engineer it except where the law allows despite this restriction;
- use the API beyond its published rate limits or in a way that degrades the Service for others.
3.3 Verified email for sending. To protect our sending reputation and your clients, some features that send email on your behalf, such as invitations and invoices, are available only after you verify your email address.
3.4 Changes to the Service. We improve the Service continually and may add, change, or remove features. We won’t make a change that materially reduces the core functionality of your paid Subscription during its current term.
3.5 Beta features. Features labeled “Beta”, “Preview”, or similar are optional, may change or end, and are provided as-is, without the commitments in §8.
4. Your data
4.1 You own your data. As between you and us, you own all Customer Data. We claim no ownership of it.
4.2 Our use of your data. You let us host, copy, process, transmit, and display Customer Data only to provide, secure, support, and improve the Service for you, as these Terms and our Privacy Policy describe, and as the law requires. We don’t sell Customer Data, and we don’t use it to advertise to you or anyone else.
4.3 Personal data. Customer Data often includes personal data about your Users and clients. For
that data you’re the controller and we’re your processor. Our Data Processing Agreement (DPA), at
mybillables.com/legal/dpa, is part of these Terms when the law requires one, or on request.
4.4 Your responsibilities. You’re responsible for the accuracy and legality of Customer Data, and for having the rights and notices needed to give it to us, including telling your Users that their time and activity are recorded in the Service.
4.5 Data region. You choose where your Organization’s data is stored when you create it. Customer Data at rest, including backups, stays in that region. At launch, the available region is the United States.
4.6 Export, any time. You can export all Customer Data (as JSON and CSV, with receipts as a ZIP file) at any time, on any plan, without contacting us. Exports never depend on a payment processor being connected.
4.7 Usage Data. We may use Usage Data to run and improve the Service and to publish aggregate statistics that don’t identify you, your Users, or your clients.
4.8 Feedback. If you send us suggestions, we may use them without obligation to you.
5. Integrations, imports, and AI features
5.1 Third-Party Services. When you connect a Third-Party Service, you authorize us to exchange data with it on your behalf. Your use of it is governed by its own terms, and we aren’t responsible for it. If a Third-Party Service changes or stops working with us, we may have to change or end the integration.
5.2 Payments. Online invoice payments are processed by Stripe (through Stripe Connect) or PayPal under your own agreement with them. We don’t hold your clients’ funds, and we’re not a party to your transactions with your clients. You’re responsible for your invoices, taxes, refunds, and disputes with your clients.
5.3 Imports. When you import from another product, such as Harvest, you authorize us to use the credentials you provide only to read your data from that product and bring it into your Organization. You confirm you’re allowed to do so. We show a reconciliation of what was imported, and you should review it before relying on imported totals.
5.4 AI features. Some optional features, such as AI-drafted time entries, use machine learning. Their suggestions may be wrong: review them before you accept them, and you remain responsible for time you submit and invoices you send. We don’t use Customer Data to train foundation models, our model providers don’t retain it, and an administrator can turn AI features off for the whole Organization.
6. Plans, fees, and price lock
6.1 Plans. Plans and their features are described at mybillables.com/pricing. We don’t charge
by the number of clients, projects, tasks, or invoices on any plan.
6.2 Free plan and trial. The Free plan has no fee. A new Organization may get a 30-day trial of higher-plan features without a payment card. When the trial ends without an upgrade, your Organization moves to the Free plan. It isn’t deactivated, and data beyond the Free plan’s limits stays read-only and fully exportable.
6.3 Price lock. Your Subscription’s price is locked until the date shown in your billing settings (the “price-lock date”). Until then, renewals will never cost more per seat than your locked price for the same plan. After the price-lock date, we may change prices with at least 60 days’ notice before your next renewal, and the change applies from that renewal.
6.4 Billing. Paid Subscriptions are billed in advance, monthly or annually, through our payment provider, and renew automatically for the same period until canceled. Seats added during a period are charged pro rata. Fees exclude taxes, which you’ll pay except for taxes on our income.
6.5 Changes and cancellation. You can upgrade, downgrade, change seats, or cancel in the app at any time, with no call required. Downgrades and cancellations take effect at the end of the current billing period. A switch from annual to monthly billing takes effect at renewal.
6.6 Refunds. Fees are non-refundable except where these Terms or the law say otherwise, or if we end your Subscription without cause (§10.3), in which case we refund prepaid fees for the unused period.
6.7 Late payment. If a payment fails, we’ll tell you and retry. If it’s still unpaid 14 days after our notice, we may move your Organization to the Free plan until it’s paid. We won’t delete Customer Data for non-payment except as §10.4 describes.
7. Confidentiality
Each party will protect the other’s non-public information it receives in connection with the Service, using at least reasonable care, and use it only to perform under these Terms. This doesn’t cover information that is public through no fault of the receiving party, already known to it, independently developed, or rightfully received from someone else. A party may disclose confidential information when the law requires, after giving the other party notice where legally allowed.
8. Security and availability
8.1 Security. We maintain administrative, technical, and physical safeguards designed to protect Customer Data, including encryption in transit and at rest, isolation between Organizations, and access controls for our staff. We’ll notify you without undue delay after becoming aware of a breach of security that affects your Customer Data.
8.2 Availability. We aim for 99.9% monthly availability for Agency and Enterprise plans,
excluding scheduled maintenance announced in advance and events outside our reasonable control.
Status is published at status.mybillables.com. [Service credits, if any, to be set by counsel.]
8.3 Backups. We back up Customer Data and can restore it to a point in time within the retention window described in our security documentation. Backups aren’t a substitute for your own exports.
9. Intellectual property
We and our licensors own the Service, including its software, design, and the MyBillables name and logos. Except for the rights granted in these Terms, we reserve all rights. You may not use our trademarks without our permission. These Terms don’t give us any rights to your trademarks except to show your name and logo on your invoices and in your Organization.
10. Term, suspension, and termination
10.1 Term. These Terms apply from when you first accept them until all your Subscriptions end and your Organizations are closed.
10.2 By you. You can cancel your Subscription or close your Organization at any time in the app.
10.3 By us. We may end these Terms for convenience with 30 days’ notice. We may end them for cause if you materially breach them and don’t cure the breach within 30 days of notice.
10.4 Suspension. We may suspend access, limited to what’s needed, if your use poses a security risk, could harm the Service or others, violates §3.2, or is required by law. We’ll give notice first where practical and restore access once the issue is resolved.
10.5 After termination. Your right to use the Service ends, except that you can export Customer Data for 90 days after cancellation or termination. After that, we delete Customer Data from the live Service, and from backups as they expire on their normal schedule, unless the law requires us to keep it.
10.6 Survival. Sections 4.1, 4.6, 6 (for amounts owed), 7, 9, 10.5, 11, 12, 13, and 15 survive termination.
11. Warranties and disclaimers
We warrant that the Service will perform materially as described in its documentation, and that we won’t materially reduce its security during your Subscription. If we breach this warranty, you must tell us, and your remedy is for us to fix the problem or, if we can’t within a reasonable time, for you to end the affected Subscription and receive a refund of prepaid fees for the unused period.
EXCEPT AS STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Service isn’t tax, legal, payroll, or accounting advice, and you’re responsible for the invoices, tax amounts, and reports you produce with it.
12. Limitation of liability
12.1 Exclusion. TO THE EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY.
12.2 Cap. TO THE EXTENT THE LAW ALLOWS, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU’RE ON THE FREE PLAN.
12.3 Exceptions. The limits in §12.1 and §12.2 don’t apply to your payment obligations, to a party’s indemnity obligations under §13, to breach of §3.2, or to liability that can’t be limited by law, such as for fraud or gross negligence.
13. Indemnification
13.1 By us. We’ll defend you against third-party claims that the Service, as we provide it, infringes their intellectual property, and pay the resulting damages awarded or settlements we agree to. If such a claim seems likely, we may modify the Service, get you the right to keep using it, or end the affected Subscription and refund prepaid fees for the unused period. This doesn’t apply to claims caused by Customer Data, Third-Party Services, or your combination of the Service with things we didn’t provide.
13.2 By you. You’ll defend us against third-party claims arising from Customer Data, from your or your Users’ breach of §3.2, or from your dealings with your clients, and pay the resulting damages awarded or settlements you agree to.
13.3 Process. The party seeking defense must notify the other promptly, give it control of the defense and settlement (no settlement may admit fault by, or impose obligations on, the defended party without its consent), and reasonably cooperate.
14. Changes to these Terms
We may update these Terms. For material changes, we’ll give at least 30 days’ notice by email to your Organization’s owners or in the app before the change takes effect. Changes don’t apply retroactively, and they don’t change the price lock in §6.3. If you object to a change, you can cancel before it takes effect and receive a refund of prepaid fees for the unused period.
15. General
15.1 Governing law. These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods doesn’t apply.
15.2 Venue. The state and federal courts in [County], [State] have exclusive jurisdiction, and each party consents to them. Either party may seek injunctive relief in any court to protect its intellectual property or confidential information.
15.3 Notices. We send notices to your Organization’s owners by email or in the app. Send legal
notices to legal@mybillables.com.
15.4 Assignment. Neither party may assign these Terms without the other’s consent, except to a successor in a merger, acquisition, or sale of substantially all of its relevant assets, with notice.
15.5 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations.
15.6 Export and sanctions. You’ll comply with export control and sanctions laws, and won’t use the Service in, or give access to, embargoed countries or sanctioned people.
15.7 Independent parties. The parties are independent contractors. These Terms create no partnership, agency, or employment relationship, and no third-party beneficiaries.
15.8 Entire agreement. These Terms, the DPA, the Privacy Policy, and any order form you sign are the entire agreement about the Service. If they conflict, an order form controls, then the DPA (for personal data), then these Terms. Purchase order terms don’t apply.
15.9 Severability and waiver. If a provision is unenforceable, the rest stays in effect. Not enforcing a provision isn’t a waiver.
15.10 Contact. Questions about these Terms: legal@mybillables.com.
